1. Asset Seller Agents shall comprise skilled individuals or organizations with wide and vast exposure business, finance and networking and particularly with high industrial appreciation.
2. Asset Seller Agents shall act as introducers to Asset Sellers, collect Assets information and be the liaisons between WTAMI and Asset Sellers.
3. Make necessary arrangements for meetings to enable direct discussions between Asset Sellers and Asset Buyers if they are unable to do so.
4. Asset Seller Agents are entitled to 25% of net fees collected by WTAMI for Assets listing and introduction fee from packaging of the Assets by WTAMI Professional Advisers. In addition, when the Assets have been successfully matched with Asset Buyers, Asset Seller Agents are entitled to 25% of the net Success Fees collected by WTAMI after deduction for costs such as taxes, etc. as their commissions.
5. WTAMI is entitled to terminate your appointments as agents if you violate any of the rules and terms of WTAMI. Upon termination of your appointments, the agents agree to indemnify WTAMI for all losses or damages sustained by WTAMI.
PROFESSIONAL ADVISER JOB FUNCTIONS AND REMUNERATIONS
1. Professional Advisers provide added services that are essential for Assets matching such as accounting, auditing, valuation, legal, preparation of Private Placement Memorandums, etc.
2. Professional Advisers shall be the professionals acting for the Asset Sellers or the Asset Buyers, if so appointed by them, and owes duty of care to the Asset Sellers or the Asset Buyers.
3. Professional Advisers shall attend meetings between Asset Sellers and Asset Buyers and give professional advices and opinions.
4. The Professional Service Fees are listed on WTAMI website under ˇ§Fees and Termsˇ¨. Professional Advisers are required to pay 10% Introduction Fees to WTAMI for assignments introduced to them by WTAMI subject to such restrictions as may be imposed by the law.
